Terms of Service

1. Acceptance of Terms

By creating an account on DPDP Comply or by accessing and using our platform at dpdpcomply.in, you agree to be bound by these Terms of Service ("Terms"). If you are using DPDP Comply on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not use the Service.

2. Description of Service

DPDP Comply ("the Service") is a software-as-a-service platform designed to help businesses comply with India's Digital Personal Data Protection Act, 2023 (DPDP Act). The Service provides:

  • Consent management with an embeddable cookie/consent banner widget
  • Data principal rights request handling with SLA tracking
  • Privacy document hosting and version management (Privacy Policy, Terms of Service, Cookie Policy)
  • Immutable audit trails for consent events and compliance actions
  • Team collaboration tools with role-based access control
  • REST APIs for integration with your existing systems

While DPDP Comply provides tools to facilitate compliance, it does not constitute legal advice. You are responsible for ensuring your use of the Service meets all applicable legal requirements.

3. Account Registration

To use DPDP Comply, you must register for an account by providing accurate and complete information, including your name, email address, and organization details. You agree to:

  • Keep your login credentials confidential and secure
  • Promptly update your account information if it changes
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately if you suspect unauthorized access to your account

We reserve the right to suspend or terminate accounts that contain false or misleading information, or that are used in violation of these Terms.

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable laws, including the DPDP Act and the Information Technology Act, 2000
  • Interfere with, disrupt, or attempt to compromise the integrity or security of the Service or its infrastructure
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Share, publish, or otherwise disclose your API keys to unauthorized third parties
  • Use the Service to collect personal data without valid legal basis or consent
  • Attempt to access data belonging to other organizations on the platform
  • Use automated tools to scrape, crawl, or extract data from the Service beyond what is provided through our APIs
  • Resell, sublicense, or redistribute the Service without our written consent

5. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

  • You retain full ownership of all data you upload to or create within the Service ("Customer Data")
  • We process Customer Data solely to provide and improve the Service, and do not sell or share it with third parties for their own purposes
  • When you use DPDP Comply to collect consent from your end users, you act as the Data Fiduciary and we act as the Data Processor under the DPDP Act
  • You are responsible for ensuring that your use of the Service, including the consent you collect, complies with applicable data protection laws

6. Subscription & Billing

DPDP Comply offers a free tier with limited features and usage allowances. Paid subscription plans are available for additional features, higher limits, and priority support.

  • Paid plans are billed monthly or annually, as selected at the time of purchase
  • Payments are processed securely through Razorpay. By subscribing to a paid plan, you also agree to Razorpay's terms of service
  • Subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date
  • You may upgrade or downgrade your plan at any time. Changes take effect at the start of the next billing period
  • We do not offer refunds for partial billing periods. If you cancel mid-cycle, you will retain access to paid features until the end of the current billing period
  • We reserve the right to change pricing with 30 days' prior notice. Existing subscribers will be grandfathered at their current rate until their next renewal

7. Intellectual Property

DPDP Comply, including its software, design, documentation, branding, and all related intellectual property, is owned by the operators of DPDP Comply and is protected by applicable copyright and trademark laws.

  • We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription
  • You retain all rights to your Customer Data, including consent records, privacy documents you author, and other content you create within the Service
  • Feedback, suggestions, or ideas you submit about the Service may be used by us to improve the platform without obligation to you

8. Service Availability

We strive to maintain high availability of the Service and aim for 99.9% uptime. However, we do not guarantee uninterrupted or error-free operation.

  • Scheduled maintenance will be communicated at least 24 hours in advance via email or in-app notification
  • We are not liable for downtime caused by factors outside our reasonable control, including internet outages, third-party service failures, or force majeure events
  • Enterprise plan customers may be eligible for a Service Level Agreement (SLA) with specific uptime guarantees and remedies

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement
  • DPDP Comply shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
  • Our total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the total fees you paid to DPDP Comply in the twelve (12) months preceding the claim
  • These limitations apply regardless of the legal theory on which a claim is based

10. Termination

Either party may terminate this agreement at any time:

  • You may cancel your account at any time through the account settings or by contacting our support team
  • We may suspend or terminate your access if you breach these Terms, fail to pay fees when due, or if required by law
  • Upon termination, you will have 30 days to export your Customer Data. After this period, your data will be permanently deleted from our systems
  • Sections that by their nature should survive termination (including Limitation of Liability, Intellectual Property, and Governing Law) will continue in effect

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India.

12. Changes to Terms

We may update these Terms from time to time to reflect changes in the Service, legal requirements, or business practices. When we make material changes:

  • We will provide at least 30 days' notice via email to the address associated with your account
  • The updated Terms will be posted on this page with a revised effective date
  • Continued use of the Service after the effective date constitutes acceptance of the updated Terms
  • If you do not agree to the updated Terms, you may terminate your account before they take effect
